Purpose The Parties intend to enter into discussions and possible collaborations relating to, including but not limited to, investment opportunities, property acquisition, bridging finance, hotel development, and associated funding structures. The purpose of this Agreement is to protect the confidential nature of the information exchanged and to prevent circumvention of each Party in any current or future business dealings.2. Non-Circumvention Each Party agrees not to circumvent or attempt to bypass the other in any transaction, contact, agreement, or business opportunity introduced by the other. This includes direct or indirect contact with investors, clients, brokers, funding sources, or other parties introduced in the course of business. This clause remains in effect for a period of five (5) years from the date of signing.3. Non-Disclosure & Confidentiality All business, personal, financial, legal, or technical information exchanged is deemed confidential. Each Party agrees not to disclose any such information to third parties without prior written consent from the disclosing Party. Confidential information includes but is not limited to: •Client names, contact details, and preferences •Business models and financial documents •Legal agreements, contracts, or memorandums •Introductions to any affiliated parties Obligations of confidentiality remain valid for five (5) years from the date of disclosure or until such information enters the public domain lawfully.4. Legal Basis This Agreement shall be governed by and construed in accordance with the laws of England and Wales, including: •The Contracts (Rights of Third Parties) Act 1999 (allowing enforcement of terms by third-party beneficiaries) •The Data Protection Act 2018 (protecting use of personal and sensitive data) •Common law principles of equity and confidentiality5. Remedies for Breach A breach of this Agreement may result in: •Injunctive relief to prevent further breach •Financial damages for loss of business •Legal costs recoverable under UK civil procedure rules The Parties agree that damages alone may not be sufficient and equitable relief may be sought without proof of actual damages. 6. Entire Agreement This Agreement constitutes the full understanding between the Parties. Any amendments must be made in writing and signed by both Parties.7. Dispute Resolution Any disputes shall be resolved first by negotiation between the Parties. If unresolved, disputes shall be referred to arbitration in London in accordance with the Arbitration Act 1996.
