Collectively referred to as “the Parties.”
The Parties intend to enter into discussions and possible collaborations relating to, including but not limited to, investment opportunities, property acquisition, bridging finance, hotel development, and associated funding structures. The purpose of this Agreement is to protect the confidential nature of the information exchanged and to prevent circumvention of each Party in any current or future business dealings.
Each Party agrees not to circumvent or attempt to bypass the other in any transaction, contact, agreement, or business opportunity introduced by the other. This includes direct or indirect contact with investors, clients, brokers, funding sources, or other parties introduced in the course of business.
This clause remains in effect for a period of five (5) years from the date of signing.
This Agreement constitutes the full understanding between the Parties. Any amendments must be made in writing and signed by both Parties.
Any disputes shall be resolved first by negotiation between the Parties. If unresolved, disputes shall be referred to arbitration in London in accordance with the Arbitration Act 1996.
