Purpose The purpose of this Agreement is to establish a collaboration between the Parties for the referral of clients interested in investing in Dubai real estate projects, ensuring a 50/50 split of commission on successful referrals.2. . Responsibilities of the Company (SS Global) SS Global will provide the Agent with a white-label list of available properties and projects to gauge client interest. Upon confirmation of client interest, SS Global will register the client with the Developer on behalf of the Agent. SS Global will handle all aspects of client engagement, including meeting the client, showing the property, and conducting transactions directly with the Developer. SS Global will ensure that the Agent’s clients are protected under the Developer’s registration, safeguarding the Agent’s interest in the referral process. SS Global guarantees a 50/50 split of the commission on any closed deals, including any future business generated from the referred client. 3. Responsibilities of the Agent The Agent agrees to refer interested clients to SS Global for investment in Dubai real estate projects. The Agent will sign and return this Agreement before receiving any project information. The Agent will refrain from disclosing project information to clients before the formal registration process, which will be handled by SS Global. The Agent will send interested clients’ details to SS Global for formal registration with the Developer. 4. Referral and Commission Split For every successful referral that leads to a closed sale, the commission will be split 50/50 between SS Global and the Agent. This commission split applies to any future transactions arising from the referred client. SS Global ensures that the Developer will tag the client under this agreement, protecting the Agent’s interests. 5. Confidentiality Clause Both Parties agree to maintain the confidentiality of all client details and sensitive project information. Neither Party shall disclose any proprietary or confidential information regarding the projects, documentation, or client information without prior written consent from the other Party. The branding on all documentation and brochures provided by SS Global cannot be removed, and the Agent agrees to share these materials with clients as provided. The Agent agrees not to attempt to approach the Developer or direct the client to the Developer outside of this collaboration agreement. 6. Client Protection The Agent’s client will be registered with the Developer through SS Global, ensuring that any potential direct approach by the client to the Developer will be tagged under SS Global. This guarantees the Agent’s commission protection, even if the client attempts to engage the Developer directly after being referred by the Agent. SS Global will manage all necessary documentation, licensing, and client engagement on behalf of the Agent, ensuring a seamless process. 7. No Obligation to Set Up Brokerage in Dubai The Agent is not required to set up a brokerage or office in Dubai. SS Global will handle all client management, including property showings, contract negotiations, and ground support in Dubai. The Agent can collaborate with SS Global under this Agreement to refer clients without taking on administrative or logistical responsibilities. 8. Additional Services SS Global offers additional opportunities, including contracts with developers for commercial buildings, hotels, and other assets in Dubai. SS Global also provides international funding solutions for clients requiring financing for large-ticket real estate investments. 9. Term and Termination This Agreement shall remain in effect until terminated by either Party with 30 days written notice. In the event of termination, any outstanding commissions due from previously referred clients will still be honored under the 50/50 split. 10. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The Parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising out of or in connection with this Agreement.
